Terms of Service

Important Notice

VoraPrep is an independent educational resource and is not affiliated with, endorsed by, or sponsored by the American Institute of Certified Public Accountants (AICPA), the National Association of State Boards of Accountancy (NASBA), Prometric, or any state board of accountancy. "CPA" and "Certified Public Accountant" are professional designations granted by state boards of accountancy, not by VoraPrep. All trademarks belong to their respective owners.

1. Acceptance of Terms

By accessing or using VoraPrep (the “Service”), operated by VoraPrep LLC (“VoraPrep,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Description of Service

VoraPrep is an online professional exam preparation platform that provides study materials, practice questions, task-based simulations, flashcards, audio lessons, and AI-powered tutoring for the following examinations:

  • CPA (Certified Public Accountant) — Uniform CPA Examination
  • EA (Enrolled Agent) — IRS Special Enrollment Examination
  • CMA (Certified Management Accountant) — IMA CMA Examination
  • CIA (Certified Internal Auditor) — IIA CIA Examination
  • CFP (Certified Financial Planner) — CFP Board CFP Examination
  • CISA (Certified Information Systems Auditor) — ISACA CISA Examination

The Service is available as a progressive web application (PWA) at voraprep.com and may be available through mobile application stores. Features and availability may vary by platform.

3. User Accounts

To access certain features, you must create an account using a valid email address. You are responsible for:

  • Providing accurate, current, and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at support@voraprep.com of any unauthorized use of your account

Accounts are for individual use only. You may not share your login credentials with any other person. We reserve the right to terminate accounts that we reasonably believe are being shared.

4. Free Trial

New users receive a 14-day free trial per exam with full access to that exam's content. Each exam course has its own independent trial period. No payment information is required to start a trial. At the end of the trial period, access to premium features will be restricted unless you subscribe to a paid plan. We will not charge you automatically when a trial ends.

5. Subscription and Billing

5.1 Plans and Pricing

The Service offers monthly and annual subscription plans on a per-exam basis. Current pricing is displayed on each exam's landing page and at checkout. All prices are in US dollars. We reserve the right to change pricing at any time; however, price changes will not affect your current billing cycle.

5.2 Payment Processing

All payments are processed securely by Stripe, Inc. VoraPrep does not store your full credit card number, CVV, or bank account details on our servers. By providing payment information, you represent that you are authorized to use the payment method.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) at the then-current rate unless you cancel before the renewal date. You may cancel auto-renewal at any time through your account settings or the Stripe Customer Portal without penalty. Cancellation takes effect at the end of the current paid period — you will retain access until then.

5.4 Refunds

Annual subscriptions are eligible for a full refund within 30 days of purchase if you are not satisfied. Monthly subscriptions are non-refundable but you may cancel at any time to prevent future charges. Refund requests should be sent to support@voraprep.com. We reserve the right to deny refund requests that we believe, in our sole discretion, are abusive or fraudulent.

5.5 Partner and Institutional Accounts

If your employer or educational institution provides you access through a partner or institutional agreement, your access is governed by that agreement. Partner-provided access may be revoked if you leave the organization or if the institutional agreement is terminated.

6. Acceptable Use

You agree not to:

  • Share your account credentials with others or allow others to use your account
  • Copy, reproduce, distribute, publicly display, or create derivative works from our content (including but not limited to questions, explanations, lessons, audio episodes, and flashcards) without our express written consent
  • Use automated scripts, bots, scrapers, or other automated means to access the Service or extract content
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Circumvent or attempt to circumvent any access restrictions, subscription requirements, or security measures
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Distribute exam questions or answers to third parties outside the platform
  • Misrepresent your identity or affiliation, or impersonate any person or entity
  • Upload or transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the Service or servers or networks connected to the Service

Violation of these terms may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

7.1 Our Content

All content on VoraPrep — including but not limited to practice questions, explanations, lessons, audio episodes, flashcards, simulations, software, graphics, logos, and trademarks — is owned by VoraPrep LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your personal, non-commercial study purposes during the term of your subscription or trial. This license does not include any right to resell, redistribute, publicly perform, or create derivative works from the content.

7.2 User-Generated Content

To the extent you create notes, bookmarks, or other content within the Service, you retain ownership of that content. By using the Service, you grant us a limited license to store and display your content back to you as part of the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into our products and services without obligation to you.

8. AI Tutor

The Service includes an AI-powered tutor feature that generates explanations and responds to your study questions. You acknowledge that:

  • AI responses are generated by third-party large language models (currently Google Gemini) and may contain errors, inaccuracies, or outdated information
  • AI responses do not constitute professional accounting, tax, legal, financial, or auditing advice
  • You should verify AI-generated content against authoritative sources before relying on it for exam preparation or professional practice
  • Your interactions with the AI tutor may be stored to improve the Service but are not shared with third parties in a personally identifiable form

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

9.1 Educational Purpose Only

VoraPrep is an educational study aid. All content — including questions, explanations, simulations, score predictions, and AI tutor responses — is original educational material created by VoraPrep for study purposes. We make no guarantees regarding:

  • Your performance on any actual professional certification examination
  • Passing any section or part of any exam
  • The accuracy of score predictions, readiness assessments, or study time estimates
  • The completeness of our content relative to actual exam coverage or current exam blueprints
  • The uninterrupted or error-free operation of the Service

Exam results depend entirely on individual effort, preparation, prior knowledge, and many other factors beyond our control. Our practice questions and simulations are original educational content and may differ in format, difficulty, style, or subject matter from actual exam questions administered by AICPA/NASBA, IRS, IMA, IIA, CFP Board, ISACA, or their testing vendors.

9.2 Not Professional Advice

Content provided through VoraPrep is for educational purposes only and does not constitute professional accounting, tax, legal, financial planning, auditing, or information systems advice. Users should consult qualified professionals for specific guidance. Tax laws, accounting standards, audit standards, and financial regulations change frequently; while we strive for accuracy, we cannot guarantee all content reflects the most current rules.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VORAPREP LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Exam fees, retake costs, or related expenses
  • Career delays or missed employment opportunities
  • Emotional distress or frustration from exam results
  • Costs of procuring substitute services
  • Loss of data or unauthorized access to your account

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Indemnification

You agree to defend, indemnify, and hold harmless VoraPrep LLC, its owners, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content you submit, post, or transmit through the Service.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@voraprep.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in English and held remotely via video conference unless both parties agree otherwise. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND VORAPREP AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

12.4 Exceptions

Notwithstanding the above: (a) either party may bring claims in small claims court if the claim qualifies; (b) either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the infringement or misappropriation of intellectual property rights; and (c) this arbitration provision does not preclude you from bringing issues to the attention of federal, state, or local agencies that may be able to seek relief on your behalf.

12.5 Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@voraprep.com within 30 days of first accepting these Terms. The notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of binding arbitration.

13. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

14. Termination

14.1 By You

You may cancel your subscription and/or delete your account at any time through your account settings or by contacting support@voraprep.com. Upon cancellation, you will retain access through the end of your current paid billing period. Upon account deletion, we will delete your personal data within 30 days in accordance with our Privacy Policy.

14.2 By Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to violation of these Terms. Upon termination for cause, you will forfeit any remaining subscription period and will not be entitled to a refund.

14.3 Effect of Termination

Sections that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

15. SMS Messaging Terms (Daily CPA)

VoraPrep Daily CPA is an optional SMS-based service that delivers daily CPA practice questions to your mobile phone. By providing your phone number and completing signup, you expressly consent to receive recurring automated text messages from VoraPrep at the number provided.

  • Message frequency: 1–3 messages per day based on your selected session size.
  • Message & data rates may apply depending on your carrier plan.
  • To opt out: Reply STOP at any time. You will receive one confirmation message and no further messages will be sent.
  • To get help: Reply HELP or email support@voraprep.com.
  • Consent to receive SMS messages is not a condition of purchase.
  • Supported carriers include all major US carriers. Carrier support may vary.
  • VoraPrep is solely responsible for the content of messages sent through this service.
  • Your phone number will not be shared with third parties for their marketing purposes.

This SMS service is available to US phone numbers only. For questions about SMS billing or to report unwanted messages, contact us at support@voraprep.com.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy (and any applicable partner or institutional agreement), constitute the entire agreement between you and VoraPrep regarding the Service and supersede all prior oral or written agreements, understandings, or representations.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of VoraPrep.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, or third-party service outages.

17. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account or through a prominent in-app notification before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.
